Terms of Service
Effective: March 22, 2026
These Terms of Service ("Terms") govern your access to and use of the B4 Media website (b4.media) and our professional broadcast production, streaming, and engineering services (collectively, the "Services"). By accessing our website or engaging our Services, you agree to be bound by these Terms.
1. Services
B4 Media provides enterprise broadcast production, secure cloud streaming, virtual production, software engineering, and related professional services. The specific scope, deliverables, timelines, and pricing for any engagement are defined in a separate Statement of Work ("SOW") or Service Agreement executed between B4 Media and the client.
These Terms apply in addition to any SOW or Service Agreement. In the event of a conflict, the SOW or Service Agreement shall prevail.
2. Eligibility
Our Services are designed for business professionals and corporate entities. By engaging our Services, you represent that you are authorized to enter into binding agreements on behalf of your organization and that you are at least 18 years of age.
3. Client Obligations
When engaging our Services, you agree to:
- Provide accurate and timely information required for service delivery
- Ensure appropriate personnel are available for coordination and approvals
- Grant reasonable access to venues, systems, and infrastructure as required
- Comply with all applicable laws and regulations, including broadcasting licenses and permits
- Make payments in accordance with the terms set forth in your Service Agreement
4. Intellectual Property
4.1 B4 Media IP
All proprietary software, tools, systems, methodologies, and technologies developed or owned by B4 Media remain the exclusive intellectual property of B4 Media. Nothing in these Terms grants you ownership rights to our proprietary technology.
4.2 Client Content
You retain all ownership rights to content you provide for broadcast production ("Client Content"). By providing Client Content, you grant B4 Media a limited, non-exclusive license to use, reproduce, and transmit such content solely for the purpose of delivering the contracted Services.
4.3 Deliverables
Ownership of deliverables (recordings, graphics, software integrations) will be specified in the applicable SOW or Service Agreement. Unless otherwise agreed in writing, deliverables are licensed to the client for their intended business use upon full payment.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary business information, technical specifications, event details, and any other information designated as confidential. This obligation survives termination of any Service Agreement for a period of five (5) years.
6. Payments and Fees
Service fees are set forth in the applicable SOW or Service Agreement. Unless otherwise specified:
- Invoices are due within thirty (30) days of issuance
- Late payments may incur interest at 1.5% per month or the maximum rate permitted by law
- All fees are exclusive of applicable taxes (VAT, sales tax, withholding tax)
- Travel and out-of-pocket expenses are billed at cost unless otherwise agreed
7. Limitation of Liability
To the maximum extent permitted by applicable law:
- B4 Media's total aggregate liability under any Service Agreement shall not exceed the total fees paid by the client under that specific agreement during the twelve (12) months preceding the claim
- Neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity
- These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise)
8. Disclaimer of Warranties
While we strive to deliver exceptional service quality, our Services are provided on an "as is" and "as available" basis. B4 Media does not warrant that Services will be uninterrupted or error-free. Live broadcast environments involve inherent technical variables (network conditions, venue infrastructure, third-party equipment) that may affect performance.
We commit to industry-best practices, redundancy planning, and proactive risk mitigation. Specific service-level commitments, including uptime targets and failover protocols, are documented in the applicable SOW or Service Agreement.
9. Force Majeure
Neither party shall be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: natural disasters, pandemics, government actions, power failures, internet outages, acts of terrorism, or labor disputes.
10. Indemnification
Each party agrees to indemnify, defend, and hold harmless the other party from and against any third-party claims, damages, losses, and expenses (including reasonable legal fees) arising from:
- Breach of these Terms or any applicable Service Agreement
- Violation of applicable laws or regulations
- Infringement of third-party intellectual property rights
- Negligent or wrongful acts or omissions
11. Termination
Either party may terminate a Service Agreement with thirty (30) days' written notice, unless otherwise specified in the agreement. B4 Media may terminate immediately upon material breach by the client, including non-payment. Upon termination:
- The client shall pay for all Services delivered through the date of termination
- Each party shall return or destroy confidential information of the other party
- Provisions that by their nature should survive (confidentiality, IP, liability) shall remain in effect
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Greece. Any dispute arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Athens, Greece.
For clients located in the United States, disputes may alternatively be resolved under the laws of the State of Delaware, with exclusive jurisdiction in the federal and state courts of Delaware, as specified in the applicable Service Agreement.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with a revised effective date. Continued use of our website or Services after any such changes constitutes acceptance of the updated Terms.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
