These Terms of Service ("Terms") govern your access to and use of the B4 website, services, and applications (the "Services"). Please read these Terms carefully before using our Services.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Using Our Services

1.1 Account Registration

You may need to register for an account to access certain features of our Services. When you register, you agree to provide accurate, current, and complete information about yourself and to keep this information updated. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

1.2 Eligibility

You must be at least 16 years old to use our Services. By using our Services, you represent and warrant that you meet all eligibility requirements.

1.3 Prohibited Conduct

You agree not to:

  • Use the Services in any way that violates applicable laws or regulations
  • Use the Services for any illegal or unauthorized purpose
  • Interfere with or disrupt the Services or servers or networks connected to the Services
  • Attempt to access any part of the Services, or any server, computer system, or network connected to the Services, through hacking, password mining, or any other means
  • Use any robot, spider, scraper, or other automated means to access the Services
  • Bypass or circumvent measures employed to prevent or limit access to the Services
  • Collect or harvest any information about other users without their consent
  • Submit or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, or otherwise objectionable

2. Content and Intellectual Property

2.1 User Content

Our Services may allow you to upload, submit, store, send, or receive content ("User Content"). You retain ownership of any intellectual property rights that you hold in User Content. By uploading, submitting, storing, sending, or receiving User Content through our Services, you grant B4 and its affiliates a worldwide, royalty-free, non-exclusive, perpetual, irrevocable, transferable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and display User Content in any media.

2.2 Intellectual Property Rights

The design, layout, graphics, code, and other elements of our Services are protected by intellectual property rights, including copyright and trademark laws. Except as expressly provided in these Terms, no part of the Services may be copied, reproduced, distributed, republished, downloaded, displayed, posted, or transmitted in any form or by any means without our prior written permission.

2.3 Feedback

If you provide us with any feedback or suggestions regarding our Services ("Feedback"), you grant us the right to use the Feedback without any restriction or compensation to you. Any Feedback you provide is non-confidential.

3. Creator Services

3.1 Creator Eligibility

To use our Services as a creator, you must meet our eligibility requirements, which may include having a minimum number of followers, engagement rates, or other criteria as determined by B4 in its sole discretion.

3.2 Creator Obligations

As a creator using our Services, you agree to:

  • Provide accurate and complete information about yourself and your social media presence
  • Comply with all applicable laws and regulations, including disclosure requirements for sponsored content
  • Honor commitments made to brands through our Services
  • Maintain the confidentiality of any brand information shared with you as part of a campaign
  • Not engage in any fraudulent activity, including but not limited to purchasing followers or engagement

3.3 Creator Compensation

Payment terms for creator services will be set forth in specific agreements between creators and B4 or between creators and brands. B4 may charge a service fee or commission as detailed in such agreements.

4. Brand Services

4.1 Brand Obligations

As a brand using our Services, you agree to:

  • Provide accurate and complete information about your company and campaign requirements
  • Comply with all applicable laws and regulations, including those related to advertising and consumer protection
  • Honor commitments made to creators through our Services
  • Make payments in accordance with the terms of your agreements with B4 and/or creators
  • Respect creators' creative freedom within the agreed-upon campaign parameters

4.2 Campaign Content

B4 does not guarantee any specific results from creator campaigns. While we strive to match brands with suitable creators, we are not responsible for the performance or engagement of campaign content.

5. Payments and Fees

5.1 Service Fees

B4 charges service fees for the use of our platform. These fees will be clearly disclosed to you before you enter into any binding agreement. We reserve the right to change our fee structure upon reasonable notice.

5.2 Payment Processing

Payments made through our Services may be processed by third-party payment processors. You agree to comply with the terms and conditions of these payment processors in addition to these Terms.

5.3 Taxes

You are responsible for all taxes applicable to your use of the Services. For creators, this includes income taxes on earnings received through our platform. For brands, this includes any applicable sales taxes or VAT.

6. Termination

6.1 Term

These Terms will remain in full force and effect while you use the Services.

6.2 Termination by You

You may terminate your account at any time by following the instructions on our website or by contacting us. Upon termination, you will lose access to the Services, and we may delete any information associated with your account.

6.3 Termination by B4

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including but not limited to: violation of these Terms, creation of risk or possible legal exposure for us, or if we are unable to continue providing the Services to you.

6.4 Effect of Termination

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

7. Disclaimer and Limitation of Liability

7.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. B4 EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

B4 MAKES NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS, OR THAT DEFECTS WILL BE CORRECTED.

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL B4, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  1. YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES;
  2. ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES;
  3. ANY CONTENT OBTAINED FROM THE SERVICES; AND
  4. UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

8. Indemnification

You agree to defend, indemnify, and hold harmless B4, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

  1. Your use of and access to the Services;
  2. Your violation of any term of these Terms;
  3. Your violation of any third-party right, including without limitation any copyright, property, or privacy right; or
  4. Any claim that your User Content caused damage to a third party.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Greece, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Athens, Greece.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website and/or by sending you an email. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
